The present General Terms and Conditions of Sale (GTC) apply to all sales concluded via internet, telephone, or email (including social media, etc.), subject to specific conditions indicated in the service descriptions provided by Justine Grosset-Bourbange.

Justine Grosset-Bourbange, an independent copywriter based in Megève (74120), operating under the auto-entrepreneur status, exempt from registration with the trade and companies register (RCS) under SIREN 827 626 748.

ARTICLE 1 - PURPOSE

These General Terms and Conditions (GTC) govern the contractual relationship between the Client and Justine Grosset-Bourbange related to the sale of services, which primarily include:

  • Creation, rewriting, and proofreading of web or print content
  • Editorial consultancy, marketing & communication strategy advice, and brand strategy consultancy.

Both parties accept these terms without reservation. Each service sold will be subject to a quotation that serves as a binding agreement between both parties. These terms take precedence over any other terms, such as the Client’s General Purchasing Conditions (GPC), except for specific conditions integrated into the quotation.

The quotation terms remain valid as specified in the document. After this period, the quotation becomes null and void, and a new one must be issued.

These General Terms and Conditions of Sale are available at any time upon request.

It is agreed that the quotations and these GTC between the Client and Justine Grosset-Bourbange are governed by French law.

ARTICLE 2 - COMMENCEMENT OF SERVICES

Justine Grosset-Bourbange is bound by an order only upon receipt of a non-refundable deposit equal to 40% of the total amount of the issued quotation unless otherwise specified in the quotation. Furthermore, services will only commence upon return of the quotation dated, signed, and preceded by the phrase "Bon pour accord" by the Client, signifying acceptance of these GTC.

ARTICLE 3 - ORDER AND DELIVERY OF WORK

Services may be carried out remotely (via email and phone) based on a written or verbal brief, provided it sufficiently describes the services to be performed. Deliverables will then be sent via email (in .doc, .txt, or .ppt format), subject to the conditions outlined in Article 2.

ARTICLE 4 - VALIDATION OF DELIVERABLES

Upon receipt of deliverables accompanied by a request for validation, the Client has a maximum of 2 weeks to approve the work or provide feedback. If the Client fails to respond within this timeframe, the deliverables will be considered approved, final and the full payment for the services rendered will be due.

Within the 2-week period, substantial modifications* may be requested. Depending on the nature of these modifications, Justine Grosset-Bourbange may issue a new quotation, replacing or supplementing the initial one. The new quotation will then require approval by the Client as outlined in Article 2.

For any signed quotation specifying a defined word count, Justine Grosset-Bourbange commits to delivering content within +/- 10% of the agreed word count. Any request exceeding this margin may require a new quotation.

*A modification is considered substantial if it extends the service completion time by more than 2 hours.

ARTICLE 5 - DEADLINES

Justine Grosset-Bourbange commits to delivering work and/or services according to the schedule specified in the provisional timeline included in the quotation, except in cases of force majeure or delays beyond her control.

In such cases, Justine Grosset-Bourbange will promptly inform the Client (by phone or email) of the necessary extension period required to complete the services. 

It is understood that orders placed under agreed-upon temporal conditions cannot be rescheduled during the year unless prior consent is obtained. 

ARTICLE 6 - TERMS OF PAYMENT

Payment is to be made by check or bank transfer within a maximum of 30 days from the invoice date.

An initial deposit of 40% of the total quotation amount will be invoiced to the Client upon signature of the quotation. The final balance invoice will be issued on the service completion date specified in the quotation.

For services spanning more than one month, Justine Grosset-Bourbange will issue monthly invoices reflecting the progress of the work/services.

Any payment delays will result in the automatic suspension of ongoing services until payment is received.

ARTICLE 7 - LATE PAYMENT PENALTIES

In the event of non-payment after the invoice due date, late payment penalties will be applied at the monthly rate of the interest rate set by the European Central Bank for its most recent refinancing operation plus 10 percentage points.

This clause applies automatically without the need for specific formalities or reminders. In the event of non-payment after a formal notice, Justine Grosset-Bourbange reserves the right to terminate the contract, with the Client bearing all costs incurred for the recovery of outstanding amounts. A fixed indemnity of €40, due by the Client from the first day of delay, will also be applied.

ARTICLE 8 - INTELLECTUAL PROPERTY

The texts delivered by Justine Grosset-Bourbange are original and non-duplicated. The services defined in the quotation remain the exclusive property of Justine Grosset-Bourbange until full payment of the invoice by the Client. During this period, the Client assumes the risk of loss or damage to the documents related to the services upon delivery. Ownership is transferred only after full payment.

Deliverables such as articles are signed by Justine Grosset and must feature a copyright mention upon publication unless otherwise agreed between the Client and Justine Grosset-Bourbange, requiring an additional purchase of author rights.

Although the texts purchased as part of a service become the property of the Customer, the words used may not be distorted to promote ideas, products or services that do not comply with French law.

In the event of total or partial non-payment, Justine Grosset-Bourbange is entitled, without prior notice and independently of any legal action, to require the customer, without the latter being able to object and at his own expense, to return all documents supplied without making any copies for subsequent use (content pages and optimized pages will be removed from the website concerned).

Justine Grosset-Bourbange reserves the right to mention on its website and portfolio the name and url address of the customer site as a reference, unless the customer notifies Justine Grosset-Bourbange in writing of his refusal.

ARTICLE 9 - CONFIDENTIALITY

Both Justine Grosset-Bourbange and the Client commit to maintaining the confidentiality of all information, data exchanged, and documents related to the contract during and after the completion of the services for a period of 3 years.

ARTICLE 10 - FORCE MAJEURE

Justine Grosset-Bourbange is not liable for delays due to force majeure, such as fires, floods, public health crises, energy supply interruptions, or strikes impacting transportation or postal services.

The occurrence of a case of force majeure has the effect of suspending the performance of Justine Grosset-Bourbange's contractual obligations.

In the event of force majeure, the obligations of the present Contract are suspended on both sides for thirty days.

Once the thirty-day suspension period has elapsed, the Contract may be terminated by either party by registered letter with acknowledgement of receipt, effective 8 days after receipt of such notification.

ARTICLE 11 - LIABILITY

Except for mandatory legal provisions, the total liability of Justine Grosset-Bourbange for obligations under the contract, including penalties, will not exceed 20% of the contract’s pre-tax value.

Under no circumstances will Justine Grosset-Bourbange be liable for indirect or intangible damages such as loss of operations, revenue, profits, or contracts.

ARTICLE 12 - CLAIMS AND DISPUTES

In case of complaints, they must be submitted to Justine Grosset-Bourbange with the following information:

  • Subject of the complaint
  • Complete client contact details (name, company name, address, phone number, email)
  • Quotation date and reference
  • Any additional supporting documents

The Client may, if necessary, raise objections upon receipt of the documents from Justine Grosset-Bourbange in cases of non-compliance with the quotation or data corruption (cf. Art. 4 Validation of Deliverables). In the event of dissatisfaction, the Client shall contact Justine Grosset-Bourbange to seek an amicable resolution.

Non-utilization by the Client of the produced content, which complies with the terms established in the quotation, shall under no circumstances entitle the Client to a full or partial refund of the services provided.

In the absence of an agreement between the parties, these General Terms and Conditions, being governed by French law, stipulate that any disputes arising between the parties shall fall under the jurisdiction of the courts located in the district of Justine Grosset-Bourbange’s registered office, regardless of where the services were performed.

ARTICLE 13 – TERMINATION

f the Client cancels the order, they must pay the non-refundable 40% deposit and any work completed exceeding this deposit, along with a fixed penalty of €300 (excluding VAT) for damages.

Termination by either party must be made via registered mail with acknowledgment of receipt, with a minimum 10-day notice.
